Basic Policy on Disclosure
1. Basic Stance
SK-Electronics Co., Ltd. (the “Company”) provides information to shareholders, investors, and other stakeholders in a fair, timely, and appropriate manner. In doing so, the Company will act in accordance with the following principles:
- 1Fair and Timely Disclosure
In compliance with applicable laws and regulations, including the Companies Act and the Financial Instruments and Exchange Act, the Company will promptly and fairly disclose information required under the rules and regulations on timely disclosure established by the stock exchange (the “Timely Disclosure Rules”), as well as other material information.
- 2Accurate and Easy-to-Understand Disclosure
In addition to information disclosed in accordance with the Timely Disclosure Rules, the Company will proactively disclose information that it believes will be helpful in understanding the Company. In doing so, the Company will strive to communicate information accurately and as clearly as possible.
- 3Sincere Communication
With the aim of continuously improving disclosure, the Company will provide feedback to management based on opinions and evaluations obtained through its PR and IR activities.
2. Methods of Disclosure
The Company will disclose information in an easy-to-understand manner through various channels, including briefings, its website, printed materials, and press releases.
3. Silent Period
From the day following the end of each fiscal period (including quarterly periods) until the announcement of financial results, the Company observes a “silent period” and refrains from commenting on business performance.
Notwithstanding the above, even during the silent period, if information subject to the Timely Disclosure Rules arises—such as when the Company expects actual results to materially deviate from its forecasts—the Company will promptly disclose such information in accordance with the applicable rules and regulations.
